These Terms and Conditions (“Terms”) govern your access to and use of www.drsaraikoo.com, www.saraikoo.com, and any associated pages, content, products, services, programs, features, functionality, communications, and offerings made available through those websites (collectively, the “Site”).

The Site is operated by Dr. Sarai Koo. In connection with the business ecosystem described on the Site, certain products, services, programs, content, or communications may also relate to Project SPICES LLC and affiliated brands, programs, initiatives, or websites operated under Dr. Sarai Koo’s oversight or common management.

By accessing or using the Site, purchasing any product or service, submitting information through the Site, or otherwise engaging with us through the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Site.

1. Eligibility and Permitted Use

You may use the Site only for lawful purposes and in accordance with these Terms. By using the Site, you represent and warrant that you are at least the age of majority in your jurisdiction and have the legal capacity to enter into a binding agreement.

Prices are subject to change at any time without prior notice, except as otherwise required by law. We reserve the right to correct pricing errors, product descriptions, or other inaccuracies, and to cancel or refuse any order in our discretion.

We may use third-party payment processors and ecommerce or checkout providers. We are not responsible for payment processing errors caused by third-party providers, except to the extent required by law.

6. Refunds, Cancellations, and Chargebacks

All sales are subject to the refund, cancellation, rescheduling, credit, and chargeback policies stated on the applicable sales page, checkout page, order form, booking page, program terms, or other written terms presented at the time of purchase.

If no separate written refund policy is presented for a particular offering, then all purchases are final and non-refundable unless otherwise required by law.

If you book a service, session, consultation, or appointment, any cancellation, no-show, rescheduling, expiration, reuse, or forfeiture rules stated at the time of booking will apply.

You agree not to initiate unjustified chargebacks or payment disputes. If you do, we reserve the right to present relevant records to the payment processor, financial institution, or dispute platform and to suspend or terminate current or future access to the Site, products, services, or programs.

7. Subscriptions and Recurring Payments

If you purchase a subscription, installment plan, recurring membership, retainer, or auto-renewing offering, you authorize recurring charges in the amount and frequency disclosed at the time of purchase unless and until canceled in accordance with the terms presented at checkout or in the applicable program terms.

You are responsible for canceling before the next billing date if you do not want the next recurring charge. Unless otherwise stated, fees already charged are non-refundable.

We reserve the right to suspend access for failed payments, expired payment methods, chargebacks, or delinquent balances.

8. Intellectual Property

All content on the Site, including text, graphics, branding, design, logos, names, page layouts, downloads, videos, audio, trainings, materials, compilations, software, and other content, is owned by or licensed to Dr. Sarai Koo, Project SPICES LLC, or the applicable rights holder and is protected by copyright, trademark, and other intellectual property laws.

Your use of the Site does not transfer any ownership rights to you.

You may access and use the Site content for your own personal, internal, non-commercial use only, unless we expressly grant written permission otherwise.

You may not, without prior written consent:
copy, reproduce, republish, upload, post, transmit, distribute, sell, license, sublicense, or commercially exploit Site content;
modify, create derivative works from, adapt, translate, reverse engineer, frame, or mirror Site content;
remove copyright, trademark, or proprietary notices;
share purchased materials, login credentials, or access with unauthorized persons; or

Certain concepts, frameworks, methodologies, program materials, tools, models, names, marks, and related content presented through the Site may be proprietary to Dr. Sarai Koo, Project SPICES LLC, or affiliated brands and initiatives.

If you submit comments, testimonials, messages, applications, responses, feedback, suggestions, media, or other content to us through the Site or in connection with our offerings, you represent and warrant that you have the right to submit that content and that it does not violate any law or third-party right.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DR. SARAI KOO, PROJECT SPICES LLC, AND THEIR RESPECTIVE AFFILIATES, OWNERS, OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, LICENSORS, AGENTS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OPPORTUNITY, OR EXPECTED BENEFITS, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE, ANY CONTENT, OR ANY PRODUCT OR SERVICE PURCHASED THROUGH THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS ($100 USD), WHICHEVER IS GREATER.

17. Indemnification

You agree to defend, indemnify, and hold harmless Dr. Sarai Koo, Project SPICES LLC, and their respective affiliates, owners, officers, directors, members, managers, employees, contractors, agents, licensors, successors, and assigns from and against any claims, demands, actions, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
your use of the Site;
your violation of these Terms;
your violation of any law or third-party right;
your misuse of content, materials, accounts, or intellectual property; or
your submissions, content, conduct, or communications.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate fully.

18. Termination and Suspension

We reserve the right, in our sole discretion and without prior notice, to suspend, restrict, or terminate your access to the Site, any account, or any product, program, service, or feature at any time for any reason, including if we believe you violated these Terms, engaged in fraud, initiated improper chargebacks, misused content, disrupted operations, or created legal or security risk.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

20. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any product or service offered through the Site shall first be attempted to be resolved informally by contacting us in writing.

If a dispute cannot be resolved informally, then, to the maximum extent permitted by law, the dispute shall be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to personal jurisdiction and venue there.

21. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND WE AGREE THAT ANY DISPUTE SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION OR PROCEEDING.

If this waiver is found unenforceable as to a particular claim or request for relief, then that claim or request for relief shall be severed and proceed to the extent permitted, and the remaining provisions shall continue in full force.

22. Force Majeure

We shall not be liable for any delay, interruption, or failure in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemics, labor disputes, internet or utility failures, cyber incidents, governmental actions, platform outages, supplier failures, or similar events.

23. Changes to These Terms

We may update or modify these Terms at any time in our sole discretion. When we do, we will update the Last Updated date above. Your continued use of the Site after revised Terms become effective constitutes your acceptance of the revised Terms.

24. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms, checkout terms, booking terms, program terms, or written policies expressly incorporated by reference, constitute the entire agreement between you and us regarding the Site and supersede all prior or contemporaneous communications, understandings, and proposals relating to the Site.

25. Severability and Waiver

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. Any failure by us to enforce any provision shall not operate as a waiver of that provision or any other provision.
